Bridge Over Troubled Water: SAFEs and Bridge Financing in Finland

Can a Finnish company use a SAFE? Yes, with a local twist.

Join Dottir and FVCA for a “Bridge Over Troubled Water: SAFEs and Bridge Financing in Finland” breakfast seminar on SAFEs and bridge financing for VC-backed growth companies. We’ll walk through the bridge financing instruments available to Finnish companies, and demystify how to implement a SAFE under Finnish law: the structure differs from the US original, but the same outcome can be achieved. You’ll also learn how bridge instruments are treated in the accounts, and when they qualify as equity, as debt, or as something in between.

We’ll wrap up the morning with a panel discussion where founders and investors share their first-hand experiences of bridge rounds. When is a bridge the right move, and when is it a bridge to nowhere? What separates good bridge experiences from bad ones? And how do founders and investors keep trust and communication intact when funding gets tight?

The agenda includes:

  • Bridge financing toolbox: the instruments available to Finnish companies, and how to make a SAFE work under Finnish law
  • Auditor’s view: what bridge financing means for the company’s books and balance sheet
  • Panel discussion “How to bridge the gap”: when to bridge, lessons from the field, and keeping trust and communication intact under pressure

Breakfast will be served from 8.30, and the session will begin at 9.00. Seats are limited, so be sure to reserve yours soon.
